You must be at least 18 years old to use the Services. By creating an account or using the Services, you represent and warrant that you are 18 years of age or older. If you act on behalf of a company, you affirm that you have authority to bind that entity.

You agree to provide accurate registration information, keep your account credentials confidential, and immediately notify us of any unauthorized access. You remain responsible for all activity performed through your account.

You may use the Services to generate, upload, or manage creative media in accordance with all applicable laws, regulations, and these Terms. You must not misuse the Services by attempting to disrupt their operation, reverse engineer proprietary components, or bypass usage limits.

Content that violates intellectual property rights, privacy rights, or contains illegal, harmful, or discriminatory material is strictly prohibited. We reserve the right to suspend or terminate access if we detect misuse or excessive resource consumption that impacts platform stability.

The Services operate on a credit-based system. You can purchase credits individually or subscribe to monthly plans that provide a recurring allocation of credits. Credits are used to generate content (images, videos, music, etc.) on the platform. Prices are displayed before checkout and may change with at least 14 days' notice for recurring subscription plans. By completing a purchase, you authorize us and our payment partners to process the transaction.

Credits are non-transferable and expire only if stated during purchase. All purchases of credits and subscriptions are final and non-refundable, because digital services are exempt from the right of withdrawal under Article 16(m) of EU Directive 2011/83/EU and Article 16 letter m) of Romanian Government Emergency Ordinance 34/2014 once performance has begun with the consumer's prior express consent. By purchasing credits or subscriptions, you expressly request that performance of the digital service begins immediately and acknowledge that you lose your right of withdrawal once performance has begun. Your statutory rights regarding the conformity of digital content and digital services under Romanian Law 74/2022 (transposing EU Directive 2019/770) remain unaffected. Taxes may apply based on your billing country and are shown at checkout.

We retain all rights in the Services, including software, models, datasets, and branding. Using the Services grants you a limited, non-exclusive, non-transferable license to access the platform for lawful purposes.

Unless otherwise agreed, you retain the rights to outputs generated using your prompts, subject to any third-party rights embedded in source material. You grant us a worldwide, royalty-free license to host, process, and display Your Content solely to provide and improve the Services.

You represent that Your Content does not infringe intellectual property, privacy, or publicity rights and does not contain personal data without a lawful basis. You are solely responsible for securing permissions for any material you upload, including voices, images, or text belonging to third parties.

We may remove or disable access to content that violates these Terms or legal obligations. We do not monitor content proactively but reserve the right to review submissions when necessary to investigate abuse.

The Services utilize AI models and technologies from external providers to power content generation. Your use of the Services may be subject to the terms and policies of these third-party providers. We disclaim responsibility for outages, service interruptions, or issues originating from external services or model providers.

Where required, we will inform you about data shared with partners and obtain consent in accordance with our Privacy Notice and GDPR compliance commitments.

The Services are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. To the maximum extent permitted by law, we exclude implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Our total liability under these Terms is limited to the greater of EUR 100 or the amount you paid for the Services in the six months preceding the claim. We are not liable for indirect, consequential, punitive, or special damages.

Nothing in these Terms limits liability that cannot be excluded or limited under mandatory Romanian law, including liability for intent (dol), gross negligence (culpă gravă), death, or personal injury, nor your mandatory rights as a consumer.

We may suspend or terminate your access if you breach these Terms, fail to pay required fees, or present security or legal risks. We will provide notice where legally permitted. You may terminate at any time by closing your account.

Upon termination, your right to use the Services ceases, but provisions relating to intellectual property, liability, indemnities, and dispute resolution survive.

These Terms are governed by Romanian law and, where applicable, mandatory consumer protections in your country of residence within the European Union or European Economic Area.

Romanian consumers may submit disputes to the national alternative dispute resolution platform (Soluționarea Alternativă a Litigiilor) operated by ANPC: https://anpc.ro/ce-este-sal/.

Consumers located in the EU/EEA can also use the European Commission’s Online Dispute Resolution portal: https://ec.europa.eu/consumers/odr, which provides a harmonised channel for cross-border complaints.

The Kubeez Referral Program (the "Program") lets any account in good standing (a "Referrer") invite new users (each a "Referred User") with a personal referral link or code. By sharing or using a referral link or code, you accept the rules in this section. The Program is a promotional feature. It does not create an employment, agency or partnership relationship, and Referrers may not make commitments or statements on behalf of Kubeez. Any paid collaboration requires a separate written agreement.

Attribution. A Referred User is attributed to a Referrer when they create an account through the Referrer's link, or enter the Referrer's code before their first paid purchase. An account that has already paid for a credit pack or a subscription cannot be attributed. Each account can be attributed only once, to one Referrer, and the attribution cannot be changed afterwards. Circular referrals, for example A refers B and B then refers A, are not accepted.

Referred User reward. A Referred User receives bonus credits equal to 20% of the credits included in their first full-price monthly plan or credit pack. The reward is granted once per person. It does not apply to yearly plans or to purchases made with a promo code, the welcome offer or any discount deeper than the standard subscriber discount, and Referred Users are not eligible for the welcome offer. Bonus credits follow the rules of the credits they come with: on a monthly plan they expire with that billing cycle, on a credit pack they follow the rules of the pack. Bonus credits have no monetary value and cannot be transferred or exchanged.

Referrer commission. A Referrer earns a commission of 15% of the amount a Referred User actually pays Kubeez for monthly subscription invoices and credit packs during the 2 months (60 days) that follow the attribution. No commission is earned on yearly plans, on purchases made with a promo code, the welcome offer or any discount deeper than the standard subscriber discount, on free, bonus or granted credits, or on any payment made after the 2-month period ends.

Holding period and payouts. Each commission is held for 60 days after the underlying purchase and then becomes available. A payout can be requested once the Referrer's available balance reaches EUR 20. Payouts are made in EUR to the payment card on the Referrer's account and are processed manually. Before making a payout, Kubeez may ask for information needed to confirm the Referrer's identity or to meet legal and tax obligations. Referrers are responsible for declaring and paying any taxes due on their earnings.

Refunds and reversals. If a Referred User's payment is refunded, disputed, charged back or found to be fraudulent, the matching commission is cancelled, in full or in proportion to the amount reversed, and the bonus credits linked to that payment may be removed. If the commission has already been paid, the amount is recorded as owed and payouts are withheld until it is settled or offset against later commissions.

One person, one account. The Program rewards bringing in new, independent users. The following are not allowed, and any commission or bonus obtained through them is void:

• referring yourself, including through any additional account, email address or identity;

• referring an account you own, control or pay for;

• circular or chained schemes in which accounts refer each other to collect rewards;

• offering a Referred User money, rebates or a share of your commission to sign up or to buy;

• spam or unsolicited bulk messages, misleading claims about Kubeez, its prices or its features, presenting yourself as Kubeez or as an official partner, or bidding on "Kubeez" or confusingly similar terms in paid search ads.

Enforcement. We check referrals for abuse, as described in our Privacy Notice. Where we reasonably conclude that these rules have been broken, we may void pending or available commissions, remove bonus credits, reclaim commissions already paid, disable the referral link or code, and suspend or close the accounts involved under Section 8. Custom codes. A Referrer may request a custom referral code. Requests are reviewed manually and may be declined or withdrawn, for example when the code is misleading or offensive, or uses a name or trademark the Referrer does not own.

Changes to the Program. Kubeez may change the commission rate, the earning window, the holding period, the minimum payout or any other rule of the Program, or end the Program. Changes apply to purchases made after they take effect. Commissions already earned in line with these rules remain payable under the rules that applied when they were earned.
